Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your access to and use of the Generative Metrics website and services ("Service"), operated by Infiquik FZC, a company registered in Sharjah Publishing City Free Zone, United Arab Emirates ("we", "us", "our", or "Infiquik").

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Service.

You must be at least 18 years old to use this Service. By using the Service, you represent and warrant that you are at least 18 years of age.

2. Definitions

"Account" means a unique account created for you to access our Service
"Authorized User" means an individual permitted by you to access the Service under your Account (Agency plan only)
"Content" means any data, text, or information submitted to the Service, including website URLs
"User" means any individual or entity that accesses or uses the Service
"Subscription" means the paid plan you select for accessing the Service

3. Account Registration

To access certain features of the Service, you must register for an Account. You agree to:

Provide accurate, current, and complete information during registration
Maintain and promptly update your Account information
Keep your password secure and confidential
Notify us immediately of any unauthorized access or security breach
Accept responsibility for all activities that occur under your Account

We reserve the right to suspend or terminate Accounts with inaccurate or incomplete information.

4. Service Description

Generative Metrics provides website analysis and AI readiness auditing tools. The Service includes:

Website technical analysis and scoring
Content analysis and classification
Scan result reporting and historical tracking
API access (Agency plan only)

We may modify, suspend, or discontinue any part of the Service with reasonable notice. We are not liable to you or any third party for any modification, suspension, or discontinuation.

4.1 Automated Analysis

The Service uses automated analysis and classification of website content. You acknowledge that:

Analysis results are provided "as is" without warranties of accuracy or completeness
Automated analysis has inherent limitations and should be used as guidance, not definitive authority
You are solely responsible for decisions made based on Service outputs
We may use third-party service providers for certain analysis functions

4.2 Private Beta Terms

During private beta:

Access is invite-only and granted at our discretion
Features may change, be limited, or be removed without prior notice
No uptime service level commitment (SLA) applies during beta
We may limit, suspend, or revoke beta access to protect system integrity
User account and scan history data carry over when paid plans launch

5. Subscription and Payment

5.1 Pricing

We offer a freemium pricing model. Current pricing is available at generativemetrics.com/pricing. Prices are subject to change with notice.

5.2 Free Tier

The free tier allows limited scans per month as specified on our pricing page. Free tier usage does not expire but is subject to these Terms.

5.3 Paid Subscriptions

Subscriptions are billed in advance on a monthly or annual basis
Subscriptions automatically renew at the end of each billing cycle unless canceled before renewal
You authorize us to charge your payment method for all applicable fees
All fees are non-refundable except as required by law
Subscription fees do not include taxes, which are your responsibility
If payment fails, we may retry charging your payment method and may suspend paid features until payment is completed

5.4 Cancellation

You may cancel your Subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of the current billing period, and you will continue to have access until that date. Cancellation does not entitle you to a prorated refund unless required by law.

6. Acceptable Use

You agree not to use the Service to:

Violate laws — Use the Service in violation of any applicable local, national, or international law
Unauthorized access — Attempt to gain unauthorized access to any portion of the Service or systems
Scrape data — Use automated means to scrape, harvest, or extract data from the Service without authorization
Competing products — Use the Service to build a competing product or service
Bulk abuse — Engage in automated bulk scanning beyond your plan's limits
Harm infrastructure — Introduce malware, viruses, or code designed to interrupt, destroy, or limit functionality

We reserve the right to investigate and take appropriate legal action against anyone who violates these provisions.

7. Content and Intellectual Property

7.1 Your Content

You retain all rights to the website URLs and any other content you submit to the Service ("Your Content"). By submitting Your Content, you grant us a limited license to process it solely for the purpose of providing the Service to you.

You represent and warrant that:

You have the right to submit Your Content
Your Content does not violate any third-party rights
Scanning the submitted URLs does not violate applicable terms of service

7.2 Our Intellectual Property

The Service and its original content (excluding Your Content), features, and functionality are and will remain the exclusive property of Infiquik FZC and its licensors. The Service is protected by copyright, trademark, and other laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit our intellectual property without express written permission.

7.3 Aggregated Data

We retain the right to use aggregated, anonymized data derived from Service usage for purposes of improving the Service, training algorithms, and generating insights. This data cannot identify you or your specific Content.

8. API Access (Agency Plan)

If your Subscription includes API access, the following additional terms apply:

8.1 Rate Limits

API usage is subject to rate limits specified in your plan. Exceeding rate limits may result in temporary suspension of API access.

8.2 Acceptable Use

You may use the API only for your own internal business purposes. You may not:

Resell, sublicense, or make the API available to third parties
Circumvent rate limits or access controls
Use the API in a manner that imposes unreasonable load on our infrastructure

8.3 Data Export

You are responsible for complying with applicable laws when exporting data via the API. Once data leaves our Service, we have no control over its use or security.

9. Authorized Users (Agency Plan)

If your Subscription includes multiple user seats:

9.1 Account Owner Responsibility

As the Account owner, you are responsible for:

All activities of Authorized Users under your Account
Ensuring Authorized Users comply with these Terms
Maintaining accurate records of Authorized Users
Removing access for Authorized Users who no longer require it

9.2 Seat Limits

Your plan specifies the maximum number of Authorized Users. You may not exceed this limit without upgrading your Subscription.

10. Data Retention and Deletion

10.1 Retention Period

We retain your Account data and scan history for 12 months from your last account activity. Activity includes logging in, running scans, or updating Account information.

10.2 Right to Erasure

You may request deletion of your Account and associated data at any time. Upon verified request:

We will delete your Account within 30 days
All associated scan data and personal information will be permanently removed
Some data may remain in backups for a limited time but will not be restored

11. Disclaimers and Limitation of Liability

11.1 Service Provided "As Is"

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

11.2 No Guarantees

We do not guarantee specific uptime levels or uninterrupted Service
We do not warrant that scan results are 100% accurate or comprehensive
Automated analysis involves inherent limitations and should be used as guidance, not definitive authority
You are solely responsible for decisions made based on Service outputs

11.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL INFIQUIK FZC, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS SHALL NOT EXCEED THE GREATER OF:

THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRIOR TO THE CLAIM, OR
$100 USD (if you are on the free tier)

12. Indemnification

You agree to defend, indemnify, and hold harmless Infiquik FZC and its licensees and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses arising from:

Your use of and access to the Service
Your violation of any term of these Terms
Your violation of any third-party right, including without limitation any copyright, property, or privacy right

13. Termination

13.1 By You

You may terminate your Account at any time by following the instructions on the Service or contacting us. Upon termination, your right to use the Service will immediately cease.

13.2 By Us

We may terminate or suspend your Account immediately, without prior notice where reasonably necessary, if:

You materially breach these Terms
We detect abuse, fraud, or activity that creates legal or security risk
You fail to pay applicable fees after reasonable payment retries
We are required to do so by law or regulatory direction

Upon termination:

Your right to use the Service will immediately cease
We may delete your Account data in accordance with Section 10
All provisions of the Terms which by their nature should survive termination shall survive

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms shall be governed and construed in accordance with the laws of the United Arab Emirates as applied in the Emirate of Sharjah, without regard to its conflict of law provisions.

14.2 Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good faith negotiation. If negotiation fails, disputes shall be resolved in accordance with the dispute resolution procedures specified by Sharjah Publishing City Free Zone, or if none specified, through the courts of the Emirate of Sharjah.

14.3 International Users

If you are accessing the Service from outside the UAE, you are responsible for compliance with local laws. Access to the Service may not be legal by certain persons or in certain countries.

15. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of significant changes by:

Posting the new Terms on this page
Updating the "Last Updated" date
Sending an email notice to registered users (for material changes)

Your continued use of the Service after any changes constitutes acceptance of the new Terms.

16. General Provisions

16.1 Entire Agreement

These Terms constitute the entire agreement between us regarding our Service and supersede any prior agreements.

16.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in effect.

16.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

16.4 Assignment

We may assign or transfer these Terms without restriction. You may not assign or transfer these Terms without our prior written consent.
